Board of Directors Meeting

 

Thursday February 23, 2017

 

Board members in attendance: Bernie Harkins, Conway Williams, Frank Giaccone, John Herega, Sandy Moraco, Harm Borfitz, Bob Bell and Sandy Fuller.  Absent: Chairman Bill McGinnis

 

Others in attendance: Mike Borfitz, President – Jim Spallone, Vice President – Paul Porter, Asst Treasurer - Patty Porter, Secretary -Dave Adamovich, Shop Maintenance and Anne Belle, Office Administration.

 

Meeting called to order by Frank Giaccone at 6:50pm.

 

Quorum established based on the Board of Directors in attendance.

 

Motion to approve the January 26, 2017 minutes made by John Herega and second by Bob Bell and unanimously approved by all.

 

Officer’s Reports: 

President – Mike Borfitz: Hoedown Days:  Last Saturday, February 18, we participated in the first Hoedown Event at the Polo Grounds. As presented at the last Board meeting, VWC had a tent in the Kids Zone.  In that tent, we helped young children put the wheels on small cars; we helped older ones assemble small carpenter totes.  We assembled all the kits we brought (116) by 1:00.  At that time, we closed the tent.  At a different place on the field the carvers demonstrated their art as well as displayed examples of carving.  Sandy captured improvement ideas for future events of that type.  I provided that feedback to the event organizers.

 

Sandy Fuller, who organized the carvers gave a brief update of the outcome of their experience, as well as Conway Williams, who oversees toys, gave a brief update and suggested that the club purchase additional VWC signs.

 

Library:  In the library area, the team has divvied up the types of educational materials housed in the library with the intent of recommending improvements and/or changes.

 

Cruise:  Cori Ribaudo is proposing a week Eastern Caribbean cruise in January 2018 for interested members at VWC.  With multiple bookings come extra perks.  Does the Board have any objection to this activity?  The Board advised that they did not have any objection.

 

The Natural Edge Cherry Table:  In response to a request from one of our seasonal members from Maine, Doug Sukeforth, we are donating the table to an organization called House in the Woods.  It is a rural location that caters to soldiers, veterans and their families who need to be able to “escape” everyday living to relax, hunt, fish and/or spend time with fellow military.  There is no cost to the guests.  They only have to get to Maine.  Doug shared the difference it has made in a number of soldier’s lives.  The table will serve as a place for soldiers in wheel chairs to play cards or visit.

 

Credit Card Fraud:  Over the past 15 months we have had numerous fraudulent activities on our “corporate” credit card.  Most of those have been on my number, which is only used by Ed Ott; but last week we had an event on Bob Bell’s.  Capital One has been great about taking care of the events and getting new cards out to us.  This is just to keep the Board informed.

 

Amazon Smile: I found a way to see how much we’ve earned from Amazon by placing orders through Smile.Amazon.com.  There is no report available; but, if you have chosen VWC as your charity, you’ll find a statement as to how much your order has contributed as well as how much the charity has received.  The last order I placed showed that we have, or will, receive $45.30.  (That’s from $9060 of orders from all of us!)

 

Interest in Membership by a Deaf Lady:  Anne Bell shared that a deaf lady and her translator visited the shop yesterday with an interest in what it takes to become a member.  Anne was advised to tell any person with physical disabilities who seeks membership to respond that we will work with the person to try to make membership a safe possibility, as you may remember we did a couple of years ago for Ken Weremeyer.  I plan to provide Anne with an answer to help the front desk when confronted by these situations.

 

Christmas Party:  Getting ready to mail $250 down payment to cater Hacienda Catering for Christmas Party, however will double check with Larry Phillips to see if we have a contract and confirm if we’re locked into the quoted price from last year, before mailing the down payment. Some Board members expressed concern about the quality of the food by Hacienda Catering.

 

Special Projects:  Special projects have been suspended from Feb.15th to March 1st., to help with the backlog of projects.  A help wanted ad will be posted in the newsletter, asking for permanent volunteers to work 3 days a week on special projects.

 

Vice President – Jim Spallone: No report.

 

Treasurer – Doug Parks: Paul Porter presented Financial Reports: Balance Sheet as of January 2017.  Total Liabilities and Equity $336,329.06 and Profit and Loss Budget vs. Actual for January 2017 – Net Income $6,998.44; Budget $1,921.83; Over Budget $5,076.61 and % of Budget 364.16%. Note: Current Profit and Loss Statements are posted in the back office.

 

Other Reports

Office Administration – Anne Bell: Member Tom Hall, was invited to present his appeal to the Board of Directors this evening to have his membership reinstated.  He was a no show.  Mr. Hall is a seasonal resident. He was sent a special email on 9/14/16, which is sent to all seasonal members, advising of the dates membership dues are to be paid.  He served monitor duty in December, in which several notices of payment of dues were posted at the front desk. He was called in January to advise his dues were late and that he needed to pay, he did not respond.  He came into the shop and when he scanned his card, it showed membership was invalid for nonpayment of dues.  He was not allowed in to the shop.

 

Anne provided update on the available number of members eligible to serve monitor duty.   There are 869 paid memberships. We have 217 waivers with 67 being for age, 2 for family, 18 for medical and 130 for club volunteers, leaving 652 members to serve monitor duty, the club needs to fill 1842 slots per year to serve monitor duty.

 

PR & IT – Mike Borfitz:  The Daily Sun has run the feature on Alvin Corenblum and the feature on Conway Williams, Toy Dept Mgr., is scheduled to run in the near future.   The IT Team will be meeting in February. This a great team of volunteers. 

 

Shop Maintenance/Administration – Dave Adamovich: Toy’s new drill press has been installed and the old press can be auctioned off.  The parts for the large planer will be in by the end of next week and the planer should be back up and running within the next two weeks verses the previous projected date of May 8th.   

 

Toys – Conway Williams:  2017 toys produced year to date is 727. Toys shipped to clients 225 with a donation value of $1992.  We’ve added three new clients this year, Presbyterian Church’s –Little Blessings, Bushnell’s “Backpack Program” and Sumter County Literacy Council.  The wood donations from ROMAC are working out nicely; storage at some point may become an issue. 

 

Special Projects – Hans Zassenhauss: Hans not in attendance.  Bernie Harkins advised he and his team are only making 15in cardholders.  He’s grateful Fern (seasonal member) is back making slant boards, cardholders and rocker boards.  Domino holders, different size cardholders slant boards and rocker boards, will be given a Special Projects ticket, as these are now considered a “special project” and not a premade item.

 

Committee Updates:   

Safety Committee – John Herega:  Provided update of the last committee meeting.   

 

New Business:  No new business.

 

Old Buisness:  Follow up to Bob Bell’s request that the Board Resolution of July 2011, wherein all Board Resolutions effective 01/01/01 or later were to be posted and stored on the VWC Website and numbered with the year and a sequential number.

 

Discussion: All of the previously posted Resolutions are no longer hosted on the VWC website and must have been taken off by the Webmaster.  The Board opined, since this was previously addressed, it simply needed to be reinforced and a new vote was moot.  Patty Porter advised she has received via email all the previous Resolutions from Hans Zassenhauss, Webmaster and will printout and place in a binder.  The Board agreed that all Proposal’s to the Board are to be submitted to VWC Secretary who will number and distribute the Proposal to the Board Chairman and Directors.  The Secretary will prepare and submit all final Resolutions to the VWC Webmaster for posting.
