Board of Directors Meeting

January 24, 2019

 

Call to Order

A board of directors meeting of The Village Woodshop was held on January 24, 2019 at 704 Oak Street The Villages, Florida.  It was called to order at 7:00 PM and was presided over by Mike Cromwell, Chairman, with Byron Porter Jr., secretary. A quorum was met and established.

Approval of Previous Minutes
Motion to approve the minutes of the previous December 17, 2019 meeting was made by, Harm Borfitz and seconded by, John Scott and unanimously approved by all with any additions and/or corrections

 

Officers’ Reports

Chairman Report was presented by Mike Cromwell

·         Mike Cromwell stated that the meeting will start at 7:00 p.m. and run for 1 ½ hours.

·         The meetings will be run by Roberts Rules of Order.

·         If possible minutes, proposal to resolution forms, financial reports, etc. will be submitted to the secretary Byron Porter prior to the meeting in order that they may be disbursed to the entire VWC BOD. This will allow each board member time to review the report and collect his or her thoughts/questions to be presented during the meeting.

·         Please complete the VWC BOD proposal to resolution form so that the proposal can be understood and the merits discussed. The items below allow for a record to be maintained as to the status, dates and actions that were taken for each proposal. A written and soft copy of each proposal must be submitted to the secretary at the BOD meeting where the proposal is submitted for consideration or placed in the secretary’s mailbox. It is suggested that proposals be submitted (when feasible) prior to the monthly meeting. This will allow the secretary to send out a soft copy to the BOD for their early review and lessen the amount of paper used.

·         Mike Cromwell suggested the need to start a rules committee. The rules committee will be responsible for the proposed by-law changes which will be required because of the second shop coming on line.

 

President’s Report was presented by Mike Borfitz.

·         VWC BOD members should attend the General Membership Meeting.

·         Shop Observations - Members need to be aware of shop cleanliness, duties of monitors and instructors.

·          The grandfather clock we had up for bids went for $1,200 and the scroll saw clock went for $50.00.

·         Public affairs – Complaints about the long wait time to get into the VWC has been addressed.

·         Outside Events – Colonial Days was canceled by the villages.  Hoe-Down Days is coming up in February. The Toy department will provide kits and help the children with assembly.

·         Second shop – Mike met with the Village Managers to review the first proposal and floor plan. The second shop is on track for the shop to open its doors sometime in 2020.

 

Vice President Report was presented by Jim Spallone

·         Wanted to thank everyone who helped with Colonial Days.

·         Pens for troops are going well. Had a great turn out for making pens.

 

Treasure Report Presented by Doug Parks

·         Presented Balance Sheets (See Hand Out)

·         Motion to approve the treasure report was made by Glenn Croteau and seconded by John Warner and unanimously approved by all.

 

Office Administration Presented by Anne Bell

·         We have 98 open monitor slots for next year. Hopefully these slots will be filled by the people who have not yet paid their dues.

 

Shop Administrator Presented by Glenn Croteau

·         2 new members have joined the AM team.

·         Ordered a POD to store furniture for the new shop.

·         Dust collectors are having a problem with clogging.

·         Drum Sander parts are still on order.

 

Safety Committee Presented by Harm Borfitz

·         Instructors need to be brought up to date on safety procedures.

 

Toys Presented by Conway Willians

·         The toy department produced 725 toys through January 22nd.

·         The toy department received a certificate of appreciation for our continued support for the Children’s Home Society of Florida.

·         Jan 9, 2019 sale of toys on the square raised - $145.00 from toys sales and $72.00 from cash donations.

 

Other Reports

·         John Scott – Certification is the limiting factor on how many members can be admitted to the shop at any one time. We can only process about 45 people per quarter. The only way to increase this number is to have more instructors. Last year we did certify 60 people over the course of a year.

·         Bob Bell – Pointed out that we have a long cycle time perhaps 30 days before new members can go through certification.

·         A motion was proposed by John Scott and seconded by Glenn Croteau

 

RESOLUTION TO ADMIT 20 NEW MEMBERS TO THE VILLAGES WOODWORKING SHOP EACH MONTH.  THE EFFECT OF THIS RESOLUTION TO BE REVIEWED BY THE BOARD OF DIRECTORS MONTHLY AND TO BE ADJUSTED AS NECESSARY.  RECOGNIZED CONCERNS ARE CLUBS ABILITY TO CERTIFY NEW MEMBERS IN A TIMELY MANNER AND TOTAL MEMBERSHIP IMPACTS.  THE REVIEW REQUIRED BY THIS RESOLUTION IS NOT LIMITED BY OR TO THE CONCERNS ENUMERATED.

 

The resolution was unanimously approved by all. (Year: 2019 – Number 1 – Proposal to Resolution Form)
