Board of Directors Meeting

 

Thursday November 16, 2017

 

Board Directors in attendance: Bill McGinnis, Conway Williams, Frank Giaccone, Bernie Harkins, Harm Borfitz, John Herega, Bob Bell and Sandy Moraco.

 

Absent: Glenn Croteau

 

Others in attendance: Mike Borfitz, President - Jim Spallone, Vice President- Doug Parks, Treasurer - Patty Porter, Secretary, Anne Belle, Office Admin., and Dave Adamovich.

 

Meeting called to order at 6:50pm. Quorum established based on the Board of Directors in attendance.

 

Motion to approve the October 2017, minutes made by Harm Borfitz and second Frank Giaccone and unanimously approved by all.

 

Officer’s Reports:

 

President – Mike Borfitz

 

Advised of the new approach to the General Meetings by providing department reports in a written handout format. She has received positive feedback. Discussion regarding the amount of paper required for handouts and whether this is cost effective verses sending via email. All agreed to continue with the handouts and to send via email to members too, with eventually doing away with the printed handouts.

 

Update on Expansion: The Expansion Committee met on October 31st and continues to search for creative ways to find space in the shop.

 

IT Committee:  

·         Has decided converting side doors as “smart doors” is cost prohibitive. All doors, coming into the shop, with exception of the front door facing Rolling Acres will remained locked. Therefore, all members, guests, and deliveries will need to come through the front door.

 

PR: Frank Ross with the Daily Sun, has expressed an interest in writing an article about the Christmas raffle and will be in touch with Alice Besler.

 

Incident on Shop Floor: Last’s month’s incident has been resolved and both members have apologized to each other.    

 

2018 Christmas Activities: Christmas party tickets are selling fast, there are 150 tickets remaining.

 

Mike made the Board aware of the Pens for Veterans Program, headed up by Elliot Schantz, to ensure of no issues going forward. Through this program members made 117 pens this past Veterans Day. The Daily Sun wrote an article about them, as well. Elliot is looking to make up 200 pens for Memorial Day and has asked members to turn at least one pen per day. Discussion: John Herega explained the cost to the club is minimal, Woodcraft provides the pen kits and pen blanks are being donated. Storage is not an issue. Bill McGinnis’s only concern would be the lathes being commandeered for this project, shutting members out from using them. John reassured Bill, that pens would be made throughout the year and this would not be a problem. 

 

Nancy Blackmore has, once again, agreed to head up Colonial Days. She would like all the raffle items to be made by all the women in the club.

 

Mike briefly spoke with Bob Rosen, Chairman of the Rules and Bylaw Committee concerning definition of “term”. He said that the bylaw should function as a “general guide” and definitions should be left up to the Board.

 

Discussion: Concerning definition of Term. Bill McGinnis appointed John Herega to write a Resolution to the Bylaws, for the Board to approve, regarding definition of “term” as it pertains to elected verse appointed position.

 

Mike and Jim, spoke with Dick Besler, concerning pending new member Mr. Collins. Mr. Collins initially signed up to join the club in February 2017. However, was not able to complete certification due to health issues. Mr. Collins showed up late this past week for certification and was not able to complete. All agreed, that this is a special situation and Mr. Collins, should be reimbursed his initiation fee. Dick Besler, will confirm with Mr. Collins, his intentions of not staying with the club and completing certification, before reimbursement is issued.  

 

Vice President – Jim Spallone: Is working with the managers on the 2018 budget and 2018 to 2023 capital budget. Which are due back to him, Doug and/or Mike by December 6th.

 

Treasurer – Doug Parks: Financial Reports: Balance Sheet as of October 31,2017. Total Liabilities and Equity $340,674.10. Profit and Loss Budget vs. Actual as of October 2017 – Net Income $8,330.44; Budget $1,944.00; Over Budget6,386.44 and % of Budget 428.52%.  

Note: The Current Profit and Loss Statement is posted in the back office.   

 

Other Reports

Office Administration – Anne Bell: No report.

 

Shop Maintenance/Administration – Dave Adamovich: Purchased a track saw, to replace the panel saw. Bob Beherns has built a table outside for the track saw. Members are asking for oscillating belt sander, however, the present vac system will not accommodate, until the self-containing vac system for the router tables are installed.  We are purchasing Rigid hand tools now, because they have a better warranty and full replacement value via Home Depot.     

 

Toys – Conway Williams: All general shipments are out. Due to volunteer health problems, they are making less expensive toys, therefore, the donation value of toys is down. To date the donation value is $40,839 and total toys shipped is 5034. They will be hitting the $47,000, mark for the month of November. With the shipment, to ZoZo Kids in December, the shelves will be cleared out. They have received from The Villages Entertainment Group, ten dates, for selling toys on the Square for 2018. Toys will not be sold three months in the summer, due to the heat and rain. They have three big events coming up, Colonial Days, Ho Down Days, and December Toys on The Square.

 

Committee Updates:   

Safety Committee – John Herega: He had a constructive meeting with Education, Debbie Lerouere, Shop Maintenance, Bob Beherns and Certification/Monitor Training, Dick Besler concerning instructor training, safety, proper lock-up and clean-up after classes. They are hoping to put together talking points, get all instructors together on these hot topics. They may need several dates for same. Debbie will schedule on the Education calendar. They have a follow-up meeting scheduled in two weeks. Their premise, is those instructors, who do not want to follow the guidelines, do not teach. Additionally, they discussed, instructors needing assistants and teaching methods verses safety methods.  

 

Conway Williams, asked that he receive the minutes for review (prior) to receiving the Agenda.

 

Motion to adjourn the meeting made by Sandy Moraco and second by Harm Borfitz and unanimously approved by all.
