Board of Directors Meeting

 

Thursday December 14, 2017

 

Board Directors in attendance: Bill McGinnis, Conway Williams, Bernie Harkins, Harm Borfitz, John Herega, Bob Bell and Sandy Moraco.

 

Absent: Glenn Croteau and Frank Giaccone

 

Others in attendance: Mike Borfitz, President - Doug Parks, Treasurer - Patty Porter, Secretary, Anne Belle, Office Admin., and Dave Adamovich, Shop Administration

 

Meeting called to order at 7pm. Quorum established.  

 

Motion to approve the November, 2017, minutes made by Bob Bell and second Conway Williams and unanimously approved by all, with one correction on page two.

 

New Business:

Amended Proposal # 007 to Limit Membership effective 01/01/18 submitted by Ray Roberts 12/14/17 and sponsored by Conway Williams.

·         As of January 1, 2018, VWC will suspend acceptance of new members to achieve zero growth in total membership

·         Prospective new members will be placed on a New Member Waiting List.

·         The membership numbers will be assessed on a quarterly basis by the Board of Directors to decide whether to continue the suspension or to modify it.

·         VWC will notify “The Villages” that this membership restriction will be effective January 1, 2018.

·         Acceptance of this proposal will establish these new member restrictions as ongoing policy until the existing facility is expanded or a new facility is built.

Motion to approve made by Conway Williams and second by Harm Borfitz. Approval pended to hear Bob Bells submitted “Proposal # 008 modification of original proposal” he handed out at the meeting, which states;

·         As of January 01,2018, the VWC will suspend acceptance of new members to achieve a membership maximum. The total membership is to be held at 750 members with no new members until resigning of current members reduces the membership to less than 750. All current members shall have the right to remain in the club without the 750 total members affecting them. If a current member should resign and want to come back, then they will be added at the end of the wait list as it stands at that time of their application.

·         Acceptance of this proposal will establish these new membership restrictions as an ongoing policy until any modification by the then current Board of Directors.

·         Start to limit our membership to a maximum of 750 members.

Motion to approve made by Bob Bell and not second, therefore the “Proposal modification of original proposal”, was quashed.

A vote of four (4) yes and two (2) nays from Bob Bell and John Herega, was made on the Amended Proposal to Limit Membership effective 01/01/18 submitted by Ray Roberts 12/14/17 and sponsored by Conway Williams. Proposal to Limit membership passed effective 12/14/17.

 

Bill McGinnis, explained that the election of Chairman of the Board is the Boards first official meeting, following January’s general meeting. Members selected for the 2018 to 2020 Board of Directors, should be made aware of this meeting.

Treasurer, Doug Parks provided a review of the 2018 general and capital budget. Motion to approve made by John Herega, second by Harm Borfitz and approved by the Board with one abstaining vote by Bob Bell.

 

Mike Borfitz advised that Dick Besler, asked her to obtain the Board’s approval to reimburse member Lisa Herndon $75.00, because she is not able to attend certification as she is now working for The Villages. She joined the club with her husband, Thomas, July of this year.

Motion made by Bob Bell and second by Sandy Moraco, to retain member Lisa Herndon with the provision she will not owe dues for 2018 and unanimously approved by all.

 

Old Business: John Herega submitted Proposal #009 “Amend the VWC bylaws Section 4.5.9 to define the term of BOD members, due to e resignation, long term illness or any reason the member cannot fulfill their elected term. Purpose: Clarify the eligibility of a replacement BOD member to be elected to the subsequent term.

Addition to the Bylaws:

·         A replacement BOD member will be appointed by the chairman of the board in consult with the nominating committee or by vote of the membership, in the case where there are two or more members desire the position.

·         A replacement BOD member will not be eligible to be elected to the next full three (3) year term if the member has served 18 months or more of the current term.

·         A replacement BOD member serving less than 18 months of the current term will be eligible to be elected to the next full three (3) year term.   

Motion made by Harm Borfitz and second by Sandy Moraco to approve Proposal # 009 “Amend the VWC bylaws Section 4.5.9 to define the term of BOD’s and unanimously approved by all.

 

Officer’s Reports

President – Mike Borfitz:

 

Membership Meeting and Christmas Party: The annual Christmas party, which was our first sit-down dinner was a success. The food was very good. We had 245 attendees. This is down by approximately 60 people from last year. The total money returned on the chance drawing was $2088; $1182 in the shop and $906 from the party, with an additional $100 generated by the “sign the dollar 50-50” drawing.

 

Expansion Committee: The last meeting was October 31st and committee recommended the club not accept any new members in 2018, since we are operating at capacity. They will continue work and look for creative ways to reorganize the shop to create additional space.

 

IT Committee: Dick Hartley has found software they may work, in converting side doors as “smart doors”. Dick and Bill Pappas are studying the software to ensure that it will work for the club.   

 

PR: Frank Ross with the Daily Sun and his wife attended our Christmas party as Mike and Harm’s guests. They had a nice time. The club will be busy with two events in January – Colonial Days on January 19th and Hoe Down Days on January 27th.

 

Vice President – Jim Spallone: Not in attendance.

 

Treasurer – Doug Parks: Financial Reports: Balance Sheet as of November 30,2017. Total Liabilities and Equity $354,357.22. Profit and Loss Budget vs. Actual as of November 2017 – Net Income $7,859.17; Budget $1,944.00; $Over Budget 5,915.17 and % of Budget 404.28%. Year to date Profit & Loss Budget vs. Actual January through November 2017 – Net Income $32,971.06; Budge $21,861.83; $Over Budget $11,109.23; % of Budget 150.82%.

Other Reports

Office Administration – Anne Bell: Provided status of number of members who have paid their dues. It is down, from this time last year. At the end of January, she and handful of volunteers will call members, to find out why they have not paid dues, and to advise that their membership maybe terminated if they do not pay. Continues to train Debbie Larouere, Education to get classes set-up on the website calendar. She will be working with Dick Hartley, to create an automated “Member Wait List” on the computer.

 

Shop Maintenance/Administration – Dave Adamovich: Glenn Croteau will be taking over as Shop Administrator 01/01/18 and he will stay on to head up Shop Maintenance. He is trying to find members, to work maintenance in the afternoons, which is much needed.  The planer soft touch key pad went down again. Members are punching the soft touch key pad much too hard, causing it to break. They will be looking for ways, to stop members from punching the key pad verses touching it.        

 

Toys – Conway Williams: During the month of November the Toy Team made good progress toward their goals. They produced 869 toys, bringing the annual total to 6901 toys which is 635 toys ahead of where we were at this point last year. A lot more smaller toys, with lesser donation value, were made this past year, due to volunteer and their families illnesses. Conway just delivered to Pastor Dave in Ocala 1,300 toys with a donation value of $8,000.

 

* As of December 7th, they produced an additional 168 toys which bring the total production to 7069 for the year. 

             

* In November shipped 1169 toys to clients, bringing their annual total to 5888 toys with a donation value of $48389.00. They expect to make additional shipments to Wildwood Daycare, Children’s Home Society, and Sozo Kids before year end.

 

* From the Beginning of the program in 2001, the Toy Team has now provided over 65,000 wooden toys to needy children in the Tri-County area. Conway thanked Ron Gammon, Bob Thompson, and Dan Pallo for providing the data to allowing him to report this milestone.

 

* Toys on the Square will have one date in December. Lake Sumter Landing, Thursday December 14th 5-8:30. 

 

January 2018 will start the new year with a bang. Conway and his volunteers will be working Toys on the Square Thursday January 11th at Lake Sumter Landing, Colonial Days at Brownwood on Friday January 19th, and Hoedown Days at the Polo Field.

 

Committee Updates:   

Safety Committee – John Herega: There was no safety committee meeting in December, due to members being away for the Holiday. A meeting is scheduled in January, with Education, Debbie Lerouere, Shop Maintenance, Bob Beherns and Certification/Monitor Training, Dick Besler concerning instructor training, safety, proper lock-up and clean-up after classes. They are hoping to put together talking points, get all instructors together on these hot topics
