Club Board of Directors Meeting

 

Thursday September 28, 2017

 

Board Directors in attendance: Bill McGinnis, Conway Williams, Frank Giaccone, Bernie Harkins, Harm Borfitz, John Herega, Bob Bell and Sandra Fuller.

 

Absent: Sandy Moraco

 

Others in attendance: Mike Borfitz, President - Jim Spallone, Vice President - Doug Parks, Treasurer - Patty Porter, Secretary, Anne Belle, Office Admin., Alice Belser, Asst. Office Admin and Dave Adamovich, Shop Maintenance.

 

Meeting called to order at 6:55pm. Quorum established based on the Board of Directors in attendance.

 

Motion to approve the July 28, 2017, minutes made by Bob Bell and second Conway Williams and unanimously approved by all.

 

Officer’s Reports:

 

President – Mike Borfitz

Members & Non-Member Volunteers: Our total members and volunteers is 950. We have 925 dues paying members and 25 non-member volunteers.

 

Building Expansion Update: Another meeting was scheduled with Janet Tutt for September 12th, unfortunately this is the day hurricane Irma hit The Villages. The meeting has been rescheduled to October 24th or 25th.

 

The general meeting for August was canceled due hurricane Irma.

 

The 2018 contract with the Laurel Manor has been signed for the general membership meetings, as well as the 2018 contract with the Savannah Center for the Christmas Party. The 2018 Christmas Party will be held on 12/08/18.

 

The IT committee resumed meetings on September 19. The following topics are being “investigated”.

·         Adding security to the entrance doors using readers with an emphasis on facial recognition.

·         Incorporate the use of credit cards for the membership.

·         Opening Wi-Fi to the membership.

 

  

Vice President – Jim Spallone:  No report.     

 

Treasurer – Doug Parks: Financial Reports: Balance Sheet as of August 31,2017. Total Liabilities and Equity $319,715.17 and Profit and Loss Budget vs. Actual January thru August 2017 – Net Income $15,867.14; Budget $16,029.83; Over Budget $-162.69 and % of Budget 98.99%. 

Note: The Current Profit and Loss Statement is posted in the back office. 

Comments: Jim Spallone, Mike Borfitz and Doug Parks will calculate the 2108 budget using the past nine months’ experience and project out to 12 months, then submit to the managers for their input and anticipated capital budget expenditures. Which will be submitted to the Board for approval at the end of the year.

 

Other Reports

Office Administration – Anne Bell: Submitted list of members exempt for monitor duty for 2018 and indefinitely for various reasons.  The board reviewed and added a few other members to the exemption list. There is an estimated 216 members who are exempt from monitor duty.

 

Motion to approve the 2018 monitor exemptions and permanent exemptions made by Bernie Harkins and second by Harm Borfitz and unanimously approved by all.

 

Shop Maintenance/Administration – Dave Adamovich: There was not much damage from hurricane Irma to the building or equipment. We did have some back wash of humidity and dust from dust collection over the planer, which resulted in rust depositing. The Dual Drum Sander is down, parts should be in this coming week and it will be repaired.  A used CNC machine, which is a Computer Numerical Control machine, it is an automation of machine tools by means of computers executing pre-programmed sequences of machine control commands, was recently purchased for $4,000.  They are presently making a cabinet for this machine and it should be up and running soon. Only a few members will be able to operate, since it is computerized and requires programming of software, therefore only qualified members will be able to operate. However, use of the machine will be made available to the general membership. Working with Dave on the CNC machine are Han Zassenhaus and John Herega.

 

Comments: Mike Borfitz, advised that the IT team will also be involved in the working of this CNC machine for the general membership.

 

The Board ratified the purchase of the used CNC machine for $4,000 by Mike Borfitz. Mike explained that this was a rush opportunity and did have time to obtain the Board’s approval for this purchase. Motion to approve this recognition of purchase made by John Herega, second by Bernie Harkins and unanimously approved by all.

 

Toys – Conway Williams:  Production report; In September produced 341 toys with year to date production of 5292 toys. Toys on the Square sold $228. Next date on the Square is October 12th. They are having a problem with the new drill press purchased this past February, which should be covered under warranty. They are trying to get shipments out the door as early as they can, so the shelves do not become over stocked.

 

Committee Updates:   

Safety Committee – John Herega: General and specific safety guidelines have been developed for various classes for use by instructors. The purpose is to assure all instructors are providing the same safety information in all classes. These safety reminders must be reviewed at the beginning of each class. With the fall classes starting, a meeting with all instructors to review, distribute and implement is needed ASAP. In addition, a notice and copy of the guidelines should be distributed to all via e-mail. 

 

The lack of adequate, daily, cleaning of the paint room and storage of flammables and discarded finishes was addressed by the safety committee.

 

The committee discussed the following; Use of shop and equipment before the monitors are on the floor.

 

Discussion: Dave Adamovich advised that the early morning shop maintenance volunteers, who are the shop before monitors are on the floor, are aware of this situation.  They do notify offenders, of their not being allowed to use the shop, prior to the monitors being on the floor.

 

Lathe area cleaning needs improvement, vacuuming when needed.

Members need to use caution signs (barricades) when tripping hazards are evident. Barricade signs are located on the wall in the maintenance area near the exit door. It was suggested that additional signs be purchased and placed in several areas in the shop for easy access.

 

Old Business: Ray Robert’s 6/22/17 – Request to limit VWC membership. The Board continued this request to next month. 

 

New Business:

Bernie Harkins –  Suggested that the price of premade items, samba cardholders and slant boards be increased. The Board discussed the pros and cons of same. Motion to increase the Samba Cardholders to $10.00 and Slant Boards to $15.00 effective 10/02/17 made by Bernie Harkins and second by Harm Borfitz and unanimously approved by all.

 

Sandra Fuller’s - 9/17/17 Proposed Change; Secretary will maintain the tape-recorded portion of each Board of Directors meeting until all Board Directors so choosing, especially absent ones, have an opportunity to listen to the recorded meeting and the minutes are officially approved by the Board of Directors. The Board discussed the pros and cons of same.

Motion to keep tape recordings of Board Meetings made by Sandra Fuller, no Second Motion by Board Members. Proposal quashed.                 

 

Boards Members were reminded that they can appear by phone, if they would like to hear meeting discussions.

 

Jim Spallone will address a front door handicap button with The Villages Property Manager, Tom Tritt.

 

Sandy informed the Board her personal credit card was recently compromised by Penn State twice, which is one of our suppliers.

 

Motion to adjourn the meeting made by Bob Bell and second by Frank Giaccone and unanimously approved by all.
