Board of Directors Meeting

Meeting Called to Order at 7:00pm

Board Members present: Chairman Bill McGinnis, Directors Alvin Corenblum, Bernie Harkins, John Herega, Larnie Cross, Sandy Moraco, Hans Zassenhaus and Conway Williams. 

Not in attendance: Frank Giaccone

 

Others in attendance: Jim Spallone President, Harm Borfitz, Vice President, Doug Parks Treasurer, Patty Porter Secretary, Anne Bell Office Admin and Bob Bell, Member Merchandise

 

Meeting called to order by Bill McGinnis. The quorum was established based on directors present. Motion to approve the 7/28/16 minutes made by John Herega with the caveat to add “safety committee” and second by Hans Zassenhaus was approved unanimously by all.

 

Announcement:  Secretary, Patty Porter read into record, the general assembly’s approval, by unanimous vote, on September 13, 2016 of the Boards request to amend Section 4.8 of the by-laws and the Board’s approval, by seven votes on 8/24/16 to purchase a server costing $3,500, as requested by the IT committee on 8/21/16.

 

Reports

President – Jim Spallone: On 4/28/16 Board approved to host and pay in part the catering for the 2016 Christmas party. The 2015 Christmas party the club paid $6.15 and members paid $10.00 for each ticket. This year the Christmas committee reports the price has gone up to $6.50 for the club and the $10.00 for members remains the same.  Jim asked the board to consider paying $6.50 for each ticket. 

 

The Hans Zassenhaus made a motion to approve and was 2nd by Conway Williams for the club to pay $6.50 for each ticket sold and was approved with a vote of seven to one dissenting. 

 

We’ve had 48 visitors this month and continue to have a steady stream of new members joining the club. Some are joining right before the 2017 membership dues come into effect in October, so that they get their certification training completed right away, knowing they’ll have to pay for their 2017 membership dues in October.  It remains to be seen, whether the club will see the normal joining of 25 to 30 members during the peak season, since the so members have joined during the summer.

 

Again, there has been hack of Mike Borfitz ‘s Wood Club’s Capital One credit card, which is the second time in four months. They’ll be doing research to determine why the card has been hacked and if any vendors may be involved. The card hacked showed airline tickets purchased in Russia.

 

The vending machine was removed due to the lack of sales.

 

Jim asked if anyone was interested in chairing the 2017 Colonial Days event, Nancy Blackmore won’t be able to chair.  There were no volunteers.  Colonial Days is set January 2017.

 

Vice President –Harm Borfitz:  Has put together a Tool Crib Team with the intent to review and improve upon the processes of the tool crib. The objective is to have this done in 2 to 3 meetings. The team members are Bob Behrens, Ray Roberts, Sandy Fuller and Charlie Murray.  The first meeting is scheduled 9/30/16.

 

Treasurer – Doug Parks: Financial Reports:  Balance Sheet as of August 31, 2016 – Total Liabilities and Equity $284,732.18. Profit & Loss Budget vs. Actual from January through August 2016  - Net Income (-) $16,565.28, Budget $6,888.00, Over Budget $9,768.28 and % of Budget is 241.82%. Budget pretty much on target.

 

Doug provided a copy of the projected budget for 2017 and the 2016 budget for comparison. The projected 2017 budget is based on the year to date figures from January 01, 2016 to August 31,2016 of expenditures and income. Which was divided by eight (months) then multiplied by twelve (months) for an estimated projection. The projected budget has been provided to department managers, responsible for budgeting, for their review and input prior to the next board meeting on October 27th. The projected budget does not include the estimated capital budget expenditures for 2017.  The 2017 budget and capital budget will be discussed at the next board meeting.  Doug and Jim will be available for questions.

 

 

 

Other Reports and Updates

 

Office Administration – Anne Bell:  Provided the Board with the annual list of member exemptions for the Board’s review and approval.  Paul Porter was added under Doug Parks as assistant to the Treasurer.  Motion to approve 2017 member exemptions made by Bernie Harkins and second by John Herega and approved unanimously by all.

 

Anne asked the Board to address whether the five-year dues exemption will continue for John Justice and Roy Lincicome and if the Board should consider extending approval for lifetime exemption based on their years of service working in Special Projects.  A motion to approve to lifetime due exemption for John Justice and Roy Linicmade made by John Herega and second by Bernie Harkins and approved unanimously by all.

 

Anne advised members can begin paying dues October 17th and TV and Shop 2017 signed waivers begin on October 1st. Members are encouraged to sign the waiver prior to paying dues to expedite the process. Waivers will be input in the system by October 30th.

 

 

Safety Committee – John Herega: Committee will continue to push the use of face shields. Committee suggests, during interim of the creation of an instructor-training program, that a discussion on safety associated with the course being taught be brought to the instructors’ attention prior to their teaching a course. To ensure that instructors are familiar with the safety requirements of the equipment. Additionally, the committee recommended that as new courses are introduced the instructor must list safety requirements as part of their course plan.   The committee recommends three (3) monitors be on the floor during the busy months whenever possible. They will work with Anne Bell on this matter. 

 

Turners – John Herega:  Turners have been reminded to turn the lathe off by using the on/off switch, opposed to turning the speed to zero.  Additionally, the turners will be reminded to clean up excessive shavings and chips, so they don’t spill onto the aisle and become a hazard.

 

Member Apparel – John Herega: There has been a suggestion to use Custom Apparel at Southern Trace. If Custom Apparel is used the club will forfeit the small profit made on the apparel, since members would be able purchase their apparel directly from the vendor. There’ll be no need to keep shirts and hats inventoried at the shop. The Board agreed that it would be worth forfeiting the small profit, if using Custom Apparel, expedites and simplifies selling and buying apparel. While the Board opined on this matter, it recognized that this is an operational process and not Board matter. 

 

Shop Administration – Dave Adamovich – Not in attendance.

 

Toys – Conway Williams: Toys continues to move forward and the backlog inventory has been moved and delivered.  The total amount of toys produced through yesterday is 5105. Total toys shipped to clients through yesterday were 3786 with a donation value $30,800. They have received the requirements for the Shark’s remaining three clients, which will add another 525 toys.  We’ve received and continue to receive a significant amount of donated wood from Ro-Mac.

 

Special Projects – Hans Zassenhaus:  Special Build night is scheduled for Friday September 30th starting at 4pm. The objective is build 400 cardholders and 50 slant boards.

 

IT Committe– Mike Borfitz: Harm reported for Mike.  The server approved by the Board has been installed and is being tested.

 

PR – Mike Borfitz: The Daily Sun’s Thursday’s Recreation News section will now alert readership to membership and turners’ meetings one week before their scheduled dates with our contact information.  We can now take advantage of the scrolling banner on the VNN TV channel to advertise our upcoming events by contacting the Villages Media Group.  Mike suggests we advertise for the Christmas raffle.   Colonial Days will take place on Friday, January 20, 2017. Mike has been assured that our location will be much more central this time.

 

Expansion Committee – Bernie Harkins: A draft of the club’s concerns has been sent to Janet Tutt, no response has been received.

 

Christmas Party Committee - Sandy Moraco: Confirmed the club’s cost has increased from $6.15 to $6.50 per person.

 

New BusinessBill McGinnis, budget plans (see above under treasurer).  Asked Board if they would like to review the six-pending resume for the three (3) Board openings or have the Nominating Committee screen and offer their recommendations.  The Board concurred to have Nominating Committee screen applicants and have them introduced at the appropriate General Meeting, in which members vote. Hans Zassenhaus needs to be provided, once the Nominating committee makes selection of qualified candidates, and no later than (2) weeks prior to voting, the candidates photographs and resumes to post on the web-site.

 

Bernie Harkins asked about the HVAC system and has a friend who could help. Jim Spallone advised that Dave Adamovich is working with our new Villages contact to address this matter, since it’s the Villages responsibility to provide and not the club’s.
